These Terms and Conditions govern membership of
the Timeform Betfair Racing Club

INTRODUCTION

Timeform Betfair Racing Club Limited (the 'Club') is a limited liability company registered in England and Wales, number 6699228 with its registered office at Waterfront, Hammersmith Embankment, Chancellors Road, London, W6 9HP. By paying your membership subscription fee to the Club (‘Membership Fee’), you are becoming a member of the Club which will entitle you to certain benefits related to horses which are from time to time owned by the Club (the ‘Horses’) as well as other benefits described in these Terms and Conditions.

EFFECT AND DURATION OF AGREEMENT

1. By agreeing to these Terms and Conditions and/or by your continued membership of the Club, you are bound by the entirety of these Terms and Conditions and by the 'Privacy Policy' that is incorporated by reference into these Terms and Conditions. If there is any inconsistency between these Terms and Conditions and any document incorporated by reference, these Terms and Conditions will prevail.

2. If we make significant changes to these Terms and Conditions we will take appropriate steps to bring such changes to your attention (such as by placing a notice of such change on a prominent position on the Club’s online facility (the ‘Website’), together with the changed terms and conditions). It is your responsibility to check these Terms and Conditions and the Privacy Policy from time to time to ensure that you agree with them and your continued membership of the Club will be deemed to be your acceptance of any changes to the Terms and Conditions and Privacy Policy.

3. These Terms and Conditions shall be effective for 12 months from the date on which you pay your Membership Fee and for any 12 month period thereafter for which your membership is renewed. To ensure continuous access to the Club, payment of the Membership Fee will be required prior to any membership renewal date of which you will be notified (via the Website or otherwise). The Club reserves the right to vary the Membership Fee and will communicate to you any changes to the Membership Fee (via the Website or otherwise). If you wish to terminate your membership of the Club, the Club shall have the sole discretion to determine whether or not to refund any part of the Membership Fee which you have paid.

BENEFITS OF OWNERSHIP

4. In consideration of paying the Membership Fee, you shall be entitled for the duration of your membership of the Club to various benefits including but not limited to:

(a) Exclusive access to the Website which will contain, inter alia, updated information on the Horses, other horse racing news, upcoming events, a messageboard and/or forum for members to post their views on the Horses;

(b) a regular newsletter;

(d) discounts on Timeform products;

(e) discounted entry to racecourses (where available);

(f) access to tickets to special Club functions;

(g) access to stable tours, meetings with trainers and jockeys;

(h) opportunity to enter competitions;

(i) invitations to talks and seminars about horseracing and betting; and

(j) any other benefits which are detailed on the Website.

MEMBERSHIP NOT OWNERSHIP

5. Each member of the club acknowledges and agrees that:

(a) full legal and beneficial ownership of the Horses belongs to the Club;

(b) membership of the Club shall neither constitute ownership (or any degree of ownership whatsoever) of the Club or the Horses nor entitle a member to receive any prize money earned by any of the Horses or any proceeds realised from the sale of any of the Horses; and

(c) the Club has the sole discretion in respect of all decisions in respect of the administration of the Horses, including but not limited to selecting trainers and/or races, making sale or retirement plans, using prize money and/or sale proceeds.

6. As far as the Club is aware, members shall not be “Owners” in accordance with the definition contained in the Orders and Rules of Racing as currently published by the British Horseracing Authority. On this basis, members shall be entitled to lay as well as back any of the Horses.

GENERAL

7. You may not assign your membership without the Club's written consent.

8. For the avoidance of doubt, it is within the sole discretion of the Club to determine the number of persons entitled to membership of the Club.

9. All intellectual property rights in the materials published by the Club shall be the property of the Club

10. These Terms and Conditions are governed by the laws of England and Wales.

11. The courts of England and Wales have exclusive jurisdiction in relation to all disputes under these Terms and Conditions.

12. These Terms and Conditions constitute the entire and only agreement between the parties with regards to its subject matter and each party confirms that it has not been induced to agree to these Terms and Conditions in reliance upon, nor has it been given, any warranty (including in particular any warranty as to merchantability, fitness for purpose or uninterrupted functionality), representation, statement, assurance, covenant, agreement, undertaking, indemnity or commitment of any nature whatsoever other than as are expressly set out in these Terms and Conditions and, to the extent that it has been, it unconditionally and irrevocably waives any claims, rights or remedies which it might otherwise have had in relation thereto.

13. No failure or delay by a party to exercise any of its rights under these Terms and Conditions shall operate as a waiver thereof and no single or partial exercise of any such right shall prevent any other or further exercise of that or any other right.
